Director Involvement in Landowner
Assistance Projects Policy

Conflict of Interest

Board directors must avoid conflict of interest. Involvement by board directors in Swan Ecosystem Center landowner assistance projects must adhere to SEC's Conflict of Interest Policy. Directors must disclose to the Board of Directors any potential conflict of interest that might result in their personal or financial benefit. All questions of conflict of interest shall be resolved by a vote of the Board of Directors, in which the interested individual may not vote.

If a director is approached by a landowner or contractor regarding a landowner assistance project, directors should inform the landowner or contractor of SEC policies regarding landowner assistance and conflict of interest.

Productive Involvement When Conflict of Interest is Not a Concern
If there is no potential conflict of interest, board directors may be involved in the planning of SEC's landowner assistance projects by:

  1. Reviewing and discussing the plans with SEC's land steward staff.

  2. Visiting the property of a proposed project with a SEC land steward after the landowner has granted permission.

If a board director is approached for advice by a landowner or contractor involved in a proposed or active project, the director must inform and discuss the issue with SEC's land steward(s) without making recommendations to the landowner and/or contractor.

Board directors must strive to reach agreement on the details of the plan with SEC's land steward(s), rather than providing a counter proposal to the landowner and/or contractor.

If the board director and the land steward(s) cannot agree, the issue(s) should be brought to the attention of the Executive Committee for resolution. The Executive Committee may bring the issue to the full board for resolution.
